Cyprus Insurance Market Enters Major New Phase

A strategic double transaction reshapes the sector, creating one of the island’s three largest insurance groups

A significant restructuring is underway in Cyprus’ insurance sector following Alpha Bank’s announcement of a dual strategic transaction with Universal Life and Altius Insurance. The deal, unveiled on Thursday, is set to create one of the three largest insurance groups on the island, spanning both Life and General insurance.

The agreement marks one of the most consequential shifts in the market in years, positioning the new entity to compete directly with the bancassurance groups of Bank of Cyprus and Eurobank.

A Two-Part Transaction With Far-Reaching Impact

Under the terms disclosed, Alpha Bank has reached an agreement in principle to acquire 100 percent of Altius Insurance and to merge the company with Universal Life, the flagship insurer of the Photos Photiades Group. A subsidiary of Alpha Bank will hold a majority stake in the merged entity, while the Photiades Group will retain a significant minority position and an active role in governance.

The deal includes a long-term strategic partnership between Alpha Bank and the Photos Photiades Group aimed at jointly advancing their insurance growth strategy in Cyprus and abroad. Altius’ existing management team is expected to remain in place to support the transition, ensuring operational continuity and reducing integration risk.

A New Market Force

The merged company is expected to immediately rank among the top three insurance providers in Cyprus, with a particularly strong footprint in Accident, Health and Life insurance. The group will draw on a network of roughly 400 intermediaries and a combined customer base exceeding 100,000 clients.

Alpha Bank CEO Vassilis Psaltis described the agreement as a “bold step” that reshapes the financial and insurance landscape of Cyprus.

“I look forward to working with Pavlos Photiades and his team to create an insurance group of high standards that will offer a full range of solutions and an exceptional customer experience,” he said. Psaltis also highlighted the contribution of Duke Palaiologos, a key Altius shareholder, noting his longstanding collaboration with Alpha Bank and his leadership in transforming the company.

Universal Life chairman and CEO of the Photos Photiades Group, Pavlos Photiades, called the deal a “strategic choice” that strengthens the insurer’s competitive position. With Alpha Bank’s backing, he added, the company will gain new momentum both in Cyprus and abroad, including potential expansion into the Greek market.

Implications Beyond Insurance

The transaction is expected to intensify competition in bancassurance, where banks leverage insurance operations as part of their broader financial offerings. Bank of Cyprus and Eurobank, the two dominant players in the sector, are likely to face renewed pressure as Alpha Bank positions itself as a more assertive rival.

Analysts anticipate that the deal will reinforce bancassurance as a core revenue model for banks in Cyprus, especially as market consolidation accelerates.

The transaction is subject to regulatory approval and is expected to close in the third quarter of 2026. Market observers suggest the consolidation will have lasting effects on the balance of power within the island’s financial sector, reshaping partnerships, distribution channels and customer propositions.
